TERMS OF AGREEMENT
This Two-Factor Authentication (TFA) Addendum (the "TFA Addendum"), is made by and between Infinity Software Solutions, Inc., ("LICENSOR") and your company ("LICENSEE"), who has previously entered, directly or indirectly, into a License Agreement with LICENSOR to utilize InfinityHR (the "Product"). The TFA Addendum is effective as of the date that this Agreement is accepted by electronic acknowledgement and is ratified by any use of the Two-Factor Authentication functionality ("TFA Functionality"). "

NO WARRANTY; RESPONSIBILITY FOR INFORMATION SECURITY
LICENSOR is providing the TFA Functionality on an "AS IS" basis and LICENSOR provides no warranties as to its merchantability or fitness for a particular purpose relating to the Product during the License Period. Further, LICENSEE understands and agrees that LICENSOR and its vendors will have absolutely no liability of any kind for any loss, costs or damages resulting from LICENSEE'S use of the Product during this License Period or thereafter. LICENSOR has hereby informed LICENSEE that TFA Functionality and other information security policy practices should be used to safeguard sensitive information, including PHI as defined by HIPAA. LICENSOR is not responsible for the actions or inactions of LICENSEE, its employees, its agents, and/or other third parties with respect to their use of the system and information security. LICENSEE shall indemnify and hold harmless LICENSOR for any third party claims related to LICENSEE’s use of the Software. The parties agree to comply fully with HIPAA regulations, to the extent required by law, as set forth in the Business Associate Agreement maintained at www.Infinity-SS.com

EFFECTIVE AGREEMENT
The LICENSEE acknowledges reading this License Agreement and agrees that it shall amend the existing License Agreement between LICENSOR and LICENSEE. This TFA Addendum and the License Agreement are hereby entered into by accepting these terms and conditions electronically. The individual accepting these terms and conditions hereby represents and warrants that they have the authority to enter into these agreements and that it is reasonable for LICENSOR to assume said authority as they have been granted administrative access to the Product pursuant to the terms and conditions of the License Agreement.
LICENSEE understands and agrees that LICENSOR and its vendors will have absolutely no liability of any kind for any loss, costs or damages resulting from LICENSEE'S use of the Software or resulting from LICENSEE’s failure to utilize TFA or to engage in other information security practices.
